1. Definitions

“Seller” means Tyreline Distributors Limited.

“Buyer” means any business, retailer, workshop, or legal entity purchasing goods or services from the Seller.

“Dealer Portal” means the online ordering system provided by the Seller for trade customers.

2. Ordering and Contract Formation

Access to pricing, stock availability, and ordering is provided through the Seller’s Dealer Portal or through an authorised account representative.

By submitting an order, the Buyer makes an offer to purchase goods in accordance with these Terms. A contract is formed when the Seller confirms acceptance of that order, whether electronically or in writing.

The Seller may accept or reject any order, in whole or in part, at its discretion. If an order is rejected, any amounts paid for the rejected portion will be refunded and no further liability shall arise.

The Seller does not guarantee availability of any goods displayed in the Dealer Portal or other communications.

3. Prices

All prices displayed are:

  • in New Zealand Dollars (NZD),
  • exclusive of GST unless stated otherwise,
  • represent recommended retail pricing (RRP), not trade pricing.

Trade pricing, where applicable, is provided only to authorised dealers once logged into the Dealer Portal.

The Seller reserves the right to revise pricing at any time prior to order acceptance.

4. Availability, Changes, and Cancellations

All orders are subject to product availability. The Seller may modify, discontinue, or update the specification of any product without notice.

The Seller reserves the right to cancel an order where:

  • goods are unavailable,
  • pricing or product information was incorrect,
  • the Buyer’s credit terms have not been met, or
  • fulfilment is not reasonably possible due to operational constraints.

If the Seller cancels an order after payment has been received, a full refund for the cancelled portion will be issued.

5. Delivery, Supply, and Risk

Delivery or collection terms will be agreed at the time of order acceptance. Any delivery or supply timelines are estimates only, and the Seller accepts no liability for delays.

Risk in the goods passes to the Buyer upon delivery to the agreed location or collection by the Buyer or its agent. Title to the goods remains with the Seller until payment is received in full.

6. Buyer Responsibilities

The Buyer is responsible for:

  • ensuring ordered goods are correct for the intended application,
  • providing accurate information when placing orders,
  • complying with manufacturer guidelines, installation practices, and safety requirements.

The Seller accepts no liability for incorrect product selection by the Buyer.

7. Payment Terms

Payment terms are determined by the Buyer’s approved credit account or as otherwise agreed in writing.
Failure to meet payment terms may result in order rejection, supply suspension, or revocation of credit facilities.

8. Returns and Credits

Returned goods will only be accepted with prior written approval from the Seller and may be subject to restocking fees.

Goods will not be accepted for return if:

  • they have been fitted, used, damaged, or altered,
  • they are not in resalable condition, or
  • they were specially ordered or customised for the Buyer.

Approved credits will be processed to the Buyer’s account.

9. Warranties and Liability

To the maximum extent permitted by law, the Seller:

  • provides no warranties except those required by statute or provided by the product manufacturer;
  • is not liable for indirect, incidental, consequential, or economic loss;
  • limits any direct liability to the lesser of the purchase price of the goods or repair/replacement of defective goods.

Manufacturer warranties apply only under normal, proper use and installation.

The Seller’s liability is limited to the Buyer and cannot be assigned without prior written consent.

10. Errors and Omissions

The Seller may correct any clerical or pricing errors in quotations, invoices, or communications. If the Buyer does not agree to amendments caused by such errors, goods may be returned for a full credit (if unused and in original condition).

11. Product Information

Product specifications, data, and imagery are provided as a guide only. The Seller relies on information supplied by manufacturers and cannot guarantee accuracy or completeness.

If goods differ materially from their description, the Buyer must notify the Seller promptly.

12. Force Majeure

The Seller is not liable for delays or failure to supply caused by events beyond its reasonable control, including supply chain disruption, labour shortages, natural disasters, or transport delays.

13. Amendments to Terms

The Seller may update these Terms at any time by publishing revised Terms on its website or Dealer Portal. All orders placed after publication are subject to the revised Terms.

14. Severability

If any clause is deemed invalid or unenforceable, the remaining provisions continue in full force and effect.

15. Governing Law and Disputes

These Terms are governed by New Zealand law. Any disputes will be resolved through arbitration in accordance with the Arbitration Act 1996, unless otherwise agreed by both parties.
